Trade Account Terms & Conditions

1. Application

1.1 These terms apply to all sales of goods and/or services by Frank's Fasteners, overriding any other terms (including those you may seek to impose), unless expressly agreed in writing by a Director of Franks Fasteners.

1.2 All Trade Account applications must be signed by an authorised representative. Failure to do so may delay or invalidate the application. Acceptable signatories are:

Sole Traders: The Proprietor
Limited Companies:
If incorporated under 3 years, a current Director listed at Companies House
Partnerships:
A Partner
Charities:
A Trustee
Other Organisations:
A financial officer such as Treasurer or Secretary

By signing this application, you authorise Frank's Fasteners to carry out credit checks on the business and any listed individuals.

1.3 To process your application, we may share your personal information with credit reference agencies (CRAs) who provide us with financial and identity verification data. This helps us assess creditworthiness, manage accounts, prevent fraud, and trace debts. Ongoing data exchange with CRAs may continue throughout your relationship with us.

1.4 Each order or acceptance of a quotation from Franks Fasteners is considered an offer to purchase under these terms. Orders are confirmed only once written confirmation is issued or we begin order processing. All quotations are subject to withdrawal at any time prior to confirmation.

1.5 You agree that you have not relied on any representation or estimate from Franks Fasteners. Any advice, material estimates, or suitability suggestions are provided for guidance only. It is your responsibility to confirm accuracy and suitability of all goods and services before placing an order.

1.6 Franks Fasteners reserves the right to correct typographical errors or omissions in any of our materials without incurring liability.

1.8 Application data will be securely stored for up to 7 days to facilitate processing or completion of partially submitted applications.

1.9 You must notify Franks Fasteners of any changes to your details, including address, contact information, or company personnel. In the case of director changes, a new application form may be required. Please contact us at Frank@FranksFasteners.co.uk to update your details.


2. Payment and Interest

2.1 Pricing is as shown on our website or latest catalogue, including applicable VAT and delivery charges.

2.2 For approved credit accounts, payment is due by the end of the month following the month of invoice. Failure to pay on time may result in the entire outstanding balance becoming immediately due.

2.3 Non-credit account purchases require full payment at the time of order.

2.4 If you fail to pay Frank's Fasteners any sum due (and whether or not any part of your account is subject to query), we may appropriate any payment made by you to such of the goods and/or services (or such goods or services supplied under any other contract between you and Frank's Fasteners) as we may think fit; and you shall be liable to pay us interest on such sum at the annual rate of 4% above the base lending rate from time to time of the Royal Bank of Scotland Plc, accruing on a daily basis, or, at our option, interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended and supplemented by the Late Payment of Commercial Debts Regulations 2002) from the due date for payment until payment is made in full, whether before or after any judgment, together with all costs and expenses incurred by Frank's Fasteners in recovering sums due or exercising our rights under this provision, including our debt recovery fees at a rate of 6% of the total amount outstanding.


3. Delivery

3.1 Unless otherwise arranged, delivery occurs at our warehouse or when goods are dispatched to your specified address.

3.2 Any shortages must be reported within 2 working days of delivery. Our liability is limited to rectifying the shortage or issuing a refund/credit.

3.3 Goods may be delivered in instalments. Each instalment is treated as a separate contract.

3.4 Delivery queries must be reported within 28 days. After this, delivery is deemed successful. We are not obliged to provide proof of delivery after 28 days.

3.5 We do not collect or return packaging or pallets.

3.6 If age-restricted products are supplied, the recipient must be over 18 years of age.


4. Risk and Ownership

4.1 Risk transfers to the customer upon delivery.

4.2 Ownership of goods remains with Franks Fasteners until payment is received in full.

4.3 Until full payment is received, you must store goods securely and in a manner that clearly identifies them as property of Franks Fasteners.
